AXYZ Automation UK Ltd
A.Anthony Corporate Limited successfully negotiated the purchase of the
trade and assets of Pacer Systems Limited, a £2.5m turnover company, on
behalf of a retained client, AXYZ Automation Limited for an undisclosed
cash consideration.
The acquisition is a strategic purchase combining two successful UK
competitors in the manufacture, design and build of routing and
engraving equipment.
Purchasers were advised by A.Anthony Corporate Limited and Martin Kaye
Solicitors, Vendors by Clayton and Brewill Chartered Accountants.
Goyt Properties Ltd.
Goyt Properties Ltd has acquired Earl Mill, a substantial
warehousing facility in Oldham. Consisting of 208,000 Sq ft on multi
levels, this houses wet and dry bond facilities which links into the
core activity of the trading company Safe Logistics specialising in the
warehousing of fine wines and spirits, document storage and archiving.
A.Anthony Corporate Ltd acted as lead advisors.
Geoffrey Reyner Ltd
Safe Logistics the trading business of Brandford Ltd has
acquired Geoffrey Reyner a pallet network transport and warehousing
business in Oldham. This acquisition has been a strategic purchase for
Safe Logistics consolidating warehousing capacity at Earl Mill and
transport efficiencies with Meek Distribution.

Direct Access Platform Limited
A. Anthony were lead advisors to the management team in the purchase of
the assets of the target company out of administration. DAP
manufactures portable platforms and telescopic arms for the emergency
services and local authorities.
KPMG acted as administrators.
Meek Distribution
A £7 million U.K. based transport business was acquired by Clearflow
UK Ltd; a retained client of A.Anthony Corporate, who have common
interests in the warehousing and distribution of Brandford Ltd. Total
consideration is in excess of £1 million. This seamless transaction
involves all previous management and will allow Meek to offer a wide
range of distribution arrangements in the U.K.
Purchasers were advised by A.Anthony Corporate Ltd and
Davies Wallis Foyster, Liverpool and Topping Partnership, Manchester.
Fans & Spares Limited
A. Anthony lead managed the acquisition of Fans &
Spares Ltd, the industrial fans and spares distribution business from
Vent Axia, a division of Smiths Group plc, for a substantial cash
consideration. The acquisition was funded by a mixture of asset finance
and secured term debt provided by Five Arrows Commercial Finance and
HSBC.

Wallis Foyster, Liverpool, Pannell Kerr Foster, Liverpool. For the
vendors; Allen & Overy, Ernst & Young.
R & K Drysdale Limited
A £7 million management buyout-buyin of R & K Drysdale Limited was
lead managed by A.Anthony Corporate. R & K Drysdale Ltd are growers
and distributors of agricultural products predominantly swedes and
sprouts on a national basis. The deal was funded by £2.7 million equity
largely provided by 3i Plc, Edinburgh and £4.3 million debt via The
Royal Bank of Scotland Acquisition Finance, Manchester.
Solicitors Macroberts in Edinburgh acted for the
vendors with McGrigor Donald, Edinburgh acting for the management. 3i
PLC were advised by McLay Murray and Spens, Edinburgh and the Royal Bank
of Scotland by Dickon Minto W.S.
Eiger Torrance Limited
A manufacturer and distributor of high speed mixing and dispersal
machinery was acquired by a retained client for approx £1 million. A
Anthony Corporate acted as lead managers in sourcing the necessary
funding to purchase the share capital and provide additional working
capital facilities.
Peat Precision Engineering Limited
This excellent high grade precision engineering company was acquired by
retained clients for £500,000 cash. This business was sourced and
financed through funding facilities put in place by A. Anthony Corporate
with the purpose to widen our client's customer portfolio of companies
in the group and subsequent profit stream.
Stephen Moss
Engineering Ltd
A. Anthony has successfully negotiated to acquire the assets
of Stephen Moss Engineering Ltd on behalf of a retained client.
This company based in Warrington is long established and well
respected within the engineering sector. A. Anthony sourced and
structured this acquisition for a flat cash consideration.
MDA Technical
Personnel Ltd / MDA Work Services Ltd
A. Anthony Corporate sourced the £1.3 million acquisition finance and
circa £20 million revolving working capital facility through various
divisions of The Royal Bank of Scotland Plc. Once again A. Anthony
Corporate were retained to lead manage the acquisition of these
specialist technical recruitment businesses on behalf of Priory Design
Ltd (Millbank Holdings Ltd).
D&S Motor Spares
of Manchester Limited - A.
Anthony acted on behalf of Trafford Brake Services (St Helens) Ltd in
their second acquisition to purchase D&S Motor Spares of Manchester
Limited. This business was purchased for an undisclosed sum and
consolidates Trafford Brake Services' existing business in
the Greater Manchester area.
Dale Joinery
Limited and all its associated trading
companies, is a national manufacturer and distributor of joinery
products, namely windows, doors and specials to the RMI and new-build
sectors. With turnover of approximately £27 million it was
acquired by Brand Holdings Ltd, an MBI team put together by A. Anthony
Corporate for a total consideration of £17 million.
Purchasers were advised by A. Anthony Corporate and Hammond Suddards,
Leeds. The senior debt and working capital was provided by Bank of
Scotland and equity from Royal Bank Development, Capital, Birmingham.
The vendors were advised by TMG Corporate Finance, Manchester and
Pinsent Curtis, Leeds.
Nexus Dynamics Limited
- A. Anthony Corporate assisted in the
lead-management of the acquisition of Nexus Dynamics Limited, a £1
million turnover sub-contract electronics business, for AWS Electronics
Limited. The purchase of Nexus utilised spare capacity at the AWS site
in Stoke-on-Trent and added strategic value to the business, via cross-fertilisation
of their customer bases and the key expertise introduced from Nexus.
Nexus was purchased for an undisclosed sum.
Gott Foods Limited
A. Anthony Corporate lead-managed the acquisition of Gott Foods Ltd
for Tulip International (UK) Ltd. Tulip is part of the world's largest
pork producing business, Danish Crown and acquired Gott, a Lancashire
based chicken processing company, for an undisclosed sum.
Tulip were advised by A. Anthony
Corporate, Liverpool; Davis Wallis Foyster, Liverpool; Ernst Young,
Manchester.
Level One Engineering
Ltd
A specialist engineering firm based in Skelmersdale, Lancashire, was
acquired by Lewis & Raby (Engineers) Ltd, a Merseyside based
acquisitive engineering company. Lewis & Raby have acquired four
operating companies with A. Anthony over the last three years.
